Allen & Overy has advised global private equity fund The Riverside Company on the agreement to acquire BioDue, an Italian company specialised in the development, manufacturing and commercialisation of food supplements, medical devices and cosmetics. BioDue’s top managers have reinvested in BioDue along with Riverside. Closing is subject to customary approvals by the competent regulatory authorities.

Founded in 1986 by the Benedetti family, BioDue is one of the leading dietary supplements and medical devices companies in Italy, producing niche formulas for third parties, with a focus on the liquids, probiotic, respiratory and gastrointestinal segments as well as own brand products in various therapeutic areas including dermatology, ophthalmology, aesthetics, orthopedics and gynecology. Production is managed through two cutting-edge hubs – located in Florence and Bergamo – and by applying innovative technologies. BioDue works for over 1,000 national and international customers, including some of the largest pharmaceutical and nutraceutical companies in Europe, and provides a full-service offering, ranging from raw material sourcing development and formulation, production, packaging and regulatory affairs, to commercialisation.

Allen & Overy’s team was led by partner Giovanni Gazzaniga and counsel Antonio Ferri, assisted by associates Francesco Martello and Mara Cagnana and trainee Chiara Pinto for the M&A aspects and reinvestment by top managers into the company. Partner Livio Bossotto with associates Paolo Astarita and Elena Cirotti advised on employment and data protection; counsel Luca Amicarelli, senior associate Roberta Errico and associate Stefania Casini on regulatory and administrative law; senior associate Margherita Banfi on IP; partner Emilio De Giorgi and associate Arianna Fletcher on antitrust. Counsel Frederic Demeulenaere and associate Evangeline Schumacher advised on the financing and senior associate Sarah Capella and associate Edoardo Brugnoli as to capital markets.
