Allen & Overy (“A&O”) advised JDE Peet's (EURONEXT: JDEP), the world's leading pure-play coffee and tea company, on a long-term global license agreement to manufacture, market and sell Caribou consumer and foodservice coffee products, excluding Caribou coffeehouses. The transaction is expected to close in the first quarter of 2024, and provides JDE Peet’s with a strong platform to expand its premium coffee portfolio in North America.
Under the terms of the agreement, JDE Peet’s will acquire Caribou’s roasting operations in Minneapolis, Minnesota. The two companies have also reached a long-term strategic arrangement under which JDE Peet’s will supply coffee products for sale in Caribou’s coffeehouses.
A&O lead partners Romain Dambre and Keren Livneh, commented: “We were thrilled to support JDE Peet's in expanding its platform in North America. This transaction illustrates how A&O’s fully integrated U.S. M&A and IP/ Tech Transactions teams can assist clients from around the world in growing their footprint in the U.S. market.”
