Podcast: Annual reports and AGMs – planning for the coming season

In this podcast our team of A&O experts bring you up to speed with the key issues company secretaries and their teams need to think about when preparing for their next Annual Report and AGM, and discuss some of the developments on the horizon.

Points covered include:

  • AGM share capital authorities - latest guidance and market practice update;
  • executive remuneration - current trends and good practice recommendations;
  • “say on climate”- AGM resolutions and protests;
  • annual reports - new requirements and practice points;
  • UK corporate governance reform - what we’re expecting in the future.

Update: On 16 October 2023, the DBT announced that it has withdrawn the draft Companies (Strategic Report and Directors' Report) (Amendment) Regulations 2023 after consultation with companies raised concerns about imposing additional reporting requirements. The DBT announcement states that, since July 2023, the government has completed a call for evidence on existing non-financial reporting requirements, which has identified a strong appetite from businesses and investors for reform, including to simplify and streamline existing reporting. The Business Secretary has now decided to withdraw these regulations and will be setting out options to reform the wider framework shortly. The announcement states that the government remains committed to wider audit and corporate governance reform, including establishing a new Audit, Reporting and Governance Authority to replace the existing Financial Reporting Council and will bring forward legislation to deliver these reforms when Parliamentary time allows.
