The new Regulation on ownership structures of banks and other financial intermediaries, adopted by the Bank of Italy on 26 July 2022, will enter into force on 1st January 2023.
Whilst the main scope of this new piece of regulation is to align the Italian domestic rules to the EU regulatory framework concerning the qualified holding regime, some material changes (such as the adoption of the multiplication criteria and 3% notification threshold) will urge Italian, EU and non-EU entities to monitor their acquisition and disposal transactions over Italian regulated entities to assess whether prior approval and/or notification requirements are triggered.
