Allen & Overy has acted in the context of the competitive bidding procedure, the conclusion of the concession contract and the financing of the A69 motorway.
Following a competitive bidding procedure, ATOSCA, a company resulting from a consortium led by NGE and composed of the free-flow toll service provider ASCENDI and the infrastructure funds Quaero Capital and TIIC, has been appointed by the French government as concessionaire of the A69 motorway.
ATOSCA will be responsible for the design, construction, financing, maintenance and operation of the 53 kilometers of motorway which will link Castres (Tarn) to Verfeil (Haute-Garonne). The concession contract was signed on April 20, 2022 at the same time as the financing was put in place, and work is scheduled to start in 2023.
Allen & Overy in Paris has advised ATOSCA and its shareholders on all aspects of the transaction, with a team led by Romaric Lazerges and Driss Bererhi (Partners). The team also included Vianney Leroux (Associate) on public law aspects, Zineb Bennis (Senior Associate) and Quitterie d'Andoque (Associate) on financing aspects, Alexandre Ancel on corporate aspects, Mathieu Vignon (Partner) and Virginie Chatté (Senior Associate) on tax aspects, as well as Hervé Ekué (Partner) and Nadège Debeney (Associate) on rate hedging agreements aspects.
