Allen & Overy advises on creation of fully integrated municipal energy provider Hamburger Energiewerke

Allen & Overy has advised Hamburger Gesellschaft für Vermögens- und Beteiligungsmanagement mbH (HGV), the investment holding of the Free and Hanseatic City of Hamburg (FHH), on the merger of Hamburg-based energy companies Wärme Hamburg GmbH and Hamburg Energie GmbH, forming Hamburger Energiewerke (HEnW) with effect from 1st of January 2022.

The merger means the FFH has again a fully integrated municipal energy provider. The move comes on the back of a decision by the FFH which is the owner of both companies. The newly created regional energy provider will be a one-stop shop for green energy and heating solutions, employing some 850 staff. For sales and marketing activities, HEnW will continue to harness the existing brands Hamburg Energie and Wärme Hamburg.

The Allen & Overy team was led by partner Dr Helge Schaefer und counsel Dr Ruediger Klueber (both Corporate/M&A) and further included partners Markulf Behrendt (Employment & Benefits, all Hamburg), Dr Heike Weber (Tax), Dr Udo Olgemoeller (Public Law, both Frankfurt) and Dr Jens Matthes (IP, Dusseldorf). Additional advice was provided by senior associate Dr Thomas Dieker (Tax, Frankfurt) as well as associates Dr Jan-Benedikt Fischer (Corporate/M&A), Dr Julia Pacha, Lukas Hoffmann (both Employment & Benefits, all Hamburg) and Anna Kraeling (IP, Dusseldorf).
