Closing is expected to take place in the first half of 2024 and is subject to competition authority approval and consultation of the relevant works councils. Bilfinger will employ more than 4,600 people in Belgium and the Netherlands once the transaction is completed.
The aim of the transaction is to provide Bilfinger's industrial customers with a full range of services also in the Netherlands and in Belgium, while simultaneously strengthening the Group's position in competition for skilled labour.
The Allen & Overy team was led by partner Katinka Middelkoop (Corporate/M&A, Amsterdam) and further comprised partners Dr Astrid Krüger (Corporate/M&A, Munich), Dr Ellen Braun (Antitrust, Hamburg), Hanneke Bennaars (Employment) and Rens Bondrager (Tax). Transaction advice was also provided by senior associates Sophie Kremer (Employment, all Amsterdam), Heiner Mecklenburg (Antitrust) and Dr Julia Molesetina (Antitrust/FSR, both Hamburg) as well as by associates Anne-Sophie van Gruijthuijsen, Bas Sanders, Chaimae Ziani (all Corporate/M&A), Fyrone Denny (Tax, all Amsterdam), Cornelia Tu (Corporate/M&A, Munich) and Dr Katharina Hillmer (Antitrust, Hamburg).
