EganaGoldpfeil Group – An example of a Pan-European / Asian Restructuring

A&O advised on the complex and challenging restructuring of EganaGoldpfeil Group

EganaGoldpfeil Group (2009)

A&O advised EganaGoldpfeil Holdings Limited, a brand builder, marketer and distributor in the Cayman Islands and listed on the Hong Kong stock exchange, on English law aspects of the restructuring. The deal involved a restructuring of the Egana Group of companies, a brand builder, marketer and distributor of timepieces, jewellery, leather and lifestyle products, following destabilising events in early 2007. The deal is significant because the company's listings in Hong Kong and Germany added to the complexity of what was already a high-profile and extremely challenging transaction. The appointment of provisional liquidators and approval of a business/share disposal by the provisional liquidators may have been a first in Hong Kong.

“Largest restructuring in the Hong Kong market”

Partner Peter Hoegen (Frankfurt Restructuring) commented: “This deal was the largest restructuring in the Hong Kong market in 2008 and the company's stock exchange listing in both Hong Kong and Germany added to the complexity of what was an already high profile and extremely challenging transaction.
