Nicolaus is heading the German Corporate / M&A practice of Allen & Overy and has more than 20 years of experience in advising international and domestic companies on a broad range of corporate transactions with a focus on public and private M&A, private equity and joint ventures.

His advice includes complex commercial agreements and general corporate law/corporate governance. His clients are large listed corporations, family-owned companies and financial sponsors. Nicolaus has gained particular expertise in the infrastructure, energy and transport sector.

Advising:

  • PATRIZIA Infrastructure regarding its joint project development with Numbat for installing EV charging stations across tegut supermarkets in Germany. The deal marks the company's entry into the ultrafast EV charging sector.
  • Hamburger Gesellschaft für Vermögens- und Beteiligungsmanagement mbH (HGV) of the Free and Hanseatic City of Hamburg entering into a long-term strategic partnership with the Mediterranean Shipping Company S.A. in the context of a public takeover offer. Hamburger Hafen und Logistik Aktiengesellschaft (HHLA) will therefore be managed as a strategic joint venture in the future.
  • Bayer AG on the sale of its men’s health product Nebido™ (testosterone undecanoate) to Grünenthal for a purchase price totaling up to EUR500m.
  • Fortescue Future Industries regarding its joint venture with Tree Energy Solutions to develop the world’s largest integrated green hydrogen project and an LNG terminal in Wilhelmshaven, Germany.
