Our U.S. Employment team advises primarily global corporate entities on their U.S. and international obligations relating to employment and labour law, together with compensation and benefits law.
We assist clients in all employee benefits and compensation related aspects of corporate transactions including M&A, LBOs, spin-offs and IPOs. We advise on the design, implementation and administration of annual and long-term incentive compensation plans, including the associated taxation, ERISA, securities and regulatory implications and on the drafting of proxy and related securities filings. As well as considering the feasibility, compliance, cost control, risk management and implementation aspects, we regularly guide management teams, boards of directors and compensation committees on strategy in the context of transactions and more generally.
Our practice also covers the drafting and negotiation of employment, change-in-control, severance and retention contracts and restrictive covenant agreements as well as advice on hiring and reductions in force of employees and day-to-day workplace compliance issues such as data privacy and non-discrimination.
