James is a UK ECM partner in the London office. James's experience includes advising both issuers and underwriters on the full range of equity capital markets transactions in the UK and on overseas exchanges, including: initial public offerings; rights issues, open offers and other secondary offerings; acquisitions, disposals and other significant listed company transactions. James is recognised by both Chambers and Legal 500. Chambers UK 2018 notes “he is very intellectual, very thoughtful, very creative and delightful to work with”. James previously headed our capital markets practice in Moscow.

Hellenic Bank on its acquisition of certain assets and liabilities of the Cyprus Cooperative Bank and related price placement and rights issue

Capita on its GBP701m rights issue (underwriters’ counsel)

Equiniti on its GBP317m IPO on the London Stock Exchange and its subsequent GBP200m rights issue in connection with its acquisition of the Wells Fargo Shareholder Services division (underwriters’ counsel)

Allied Irish Banks (AIB) on its EUR3.4bn IPO and dual listing on the Irish Sock Exchange and London Stock Exchange (acting for Irish government)

Clydesdale Bank on its demerger from National Australia Bank Limited and dual listing on the London Stock Exchange and Australian Stock Exchange (independent adviser to Clydesdale Bank and its Board)

McCarthy & Stone on its GBP388m IPO on the London Stock Exchange

Ibstock on its GBP354m IPO on the London Stock Exchange

Coca-Cola Iberian Partners on its USD27bn three-way merger with Coca-Cola Enterprises and Coca-Cola Erfrischungsgetränke to form Coca-Cola European Partners, which was listed on the NYSE, Amsterdam Stock Exchange and the Madrid, Valencia, Bilbao and Barcelona stock exchanges in Spain

Hibernia REIT on its EUR385m IPO on the London Stock Exchange (underwriters’ counsel) and on its subsequent EUR300m placing and open offer (Issuer’s counsel)

Coronavirus: Points to consider on M&A transactions

The new Prospectus Regulation: regime changes for equity capital markets

Issuers and their advisers are likely to be interested in an article about the impact of the new Prospectus Regulation (PR) for equity offerings that we have co-written with David Cotton of Bank of America Merrill Lynch, for PLC Magazine. Changes include the treatment of risk factors, the prospectus summary, the exemptions from the prospectus publication requirement and the “advertisements” regime.
