Alun’s practice focuses on private and public M&A, joint ventures and restructurings across Asia, especially ASEAN and Japan. He joined Allen & Overy in May 2012 from another global law firm, where he worked for a number of years in both London and Tokyo. He has a depth of experience in a variety of industry sectors, especially the financial services, food and beverage, energy and natural resources, telecommunications media and technology and health care sectors.

Bank of Tokyo-Mitsubishi UFJ on, amongst other deals, its:

USD783m acquisition of approximately 20% of Security Bank of the Philippines; and

USD5.75bn acquisition of a controlling stake in Bank Ayudhya in Thailand via tender offer, along with associated branch integration.

The Royal Bank of Scotland on the sale of retail and commercial banking assets in Indonesia, Hong Kong, Taiwan, Singapore, Vietnam, and the Philippines to ANZ for USD550m.

Bank of Nova Scotia on the proposed sale of its Malaysian banking business to Cathay Financial Holdings of Taiwan.

Royal Sun Alliance on the sale of its insurance business in Singapore, Malaysia and Hong Kong to Allied World Insurance for USD215m.

Union Bank and City Savings Bank on its strategic bancassurance arrangements with Insular Life in the Philippines.

TMB Bank Public Company Limited of Thailand on the sale of 65% of its asset management unit, TMB Asset Management, to Eastspring Investments, the Asian asset management business of Prudential plc.

Sumitomo Mitsui Trust Bank on its investment in NewSmith Capital asset management in the UK.

Pilmico International and Aboitiz Equity Ventures of the Philippines on the approximately USD400m acquisition of a 75% stake in Gold Coin, one of Asia’s largest agribusinesses operating 20 livestock and aqua feed mills across 11 countries in Asia.

Central Group, a Thai conglomerate, on its acquisition of the Big C Vietnam supermarket chain from Groupe Casino, a French mass retailer, for USD1.1bn.

Jollibee Foods of the Philippines on its investment in Titan Dining LP, a fund that acquired the Asia Pacific master franchise holder of the “Tim Ho Wan” Michelin-star dim sum restaurant chain.

Credit Suisse and Bank of America Merril Lynch in relation to OUE’s USD10.7bn takeover offer for Fraser and Neave in Singapore.

Emperador Group of the Philippines on its:

EUR275m acquisition of several Spanish brandy assets from Beam Suntory Inc; and

GBP430m acquisition of the Whyte & Mackay Group from United Spirits, a company listed on the Bombay Stock Exchange.

Diageo on the set up of its joint venture and distribution arrangements in Japan with Kirin.

Engie on the disposal of its entire 69.1% interest in Glow Energy Public Company Limited, a company listed in Thailand to Global Power Synergy Public Company Limited, a subsidiary of the PTT Group.

Keppel Corporation on its USD250m investment into Kris Energy, a leading ASEAN focused independent oil and gas exploration, development and production company with assets in Thailand, Indonesia, Cambodia and Vietnam and the related shareholder arrangements.

Total S.A. on the:

restructuring of its Philippines fuel sales business and related joint venture arrangements with Filoil; and

acquisition of downstream oil and gas LPG assets in Vietnam.

Dynea Chemicals Oy, the leading global provider of adhesive and surface solutions, on the sale of its Asian business (which comprised at the time 18 facilities in eight countries across the region, including Malaysia, Singapore, Thailand and Indonesia) to AICA Kogyo of Japan.

Mitsubishi Corporation and Ashai Glass Company on the sale of F2 Chemicals Limited in the UK to Showa Denko K.K of Japan.

Singapore Technologies Telemedia on its joint venture with StarHub Ltd. to develop a telecommunications, media and data centre facility in Singapore.

Sungard on the disposal of its fintech business in Singapore and Malaysia to Silverlake Axis (a Singaporean/Malaysian IT business listed on the Singapore stock exchange).

Thomson Reuters on the acquisition of the legal and company secretary subscription text business of Wolters Kluwer in Singapore and Malaysia.

Nusantara Infrastructure and Providence Equity Asia on their joint acquisition of shares in Tara Cell Intrabuana and telecommunication tower assets from Komet Konsorsium.

Soho Group, of Indonesia, one of the leading pharmaceuticals groups in Indonesia, on its joint venture with Fresenius in the generic prescription drugs manufacturing space in Indonesia.

Temasek on an investment into an Asian healthcare business.

Fresenius on the sale of its dialysis products and services business in Japan and Korea to Nikkiso.

UEM Edgenta Berhad, a leading hospital manager and healthcare facility services provider in Malaysia that is indirectly controlled by Khazanah Nasional Berhad, on the USD186m acquisition of Asia Integrated Facility Solutions, the holding company for the UEMS Group, a leading building manager and facility services provider in Singapore, Malaysia and Taiwan.

Qantas on the disposal of its Tour East business in Singapore, Malaysia, Indonesia and Thailand to JTB of Japan.
