Zoltán is the managing partner at Allen & Overy Budapest with 25 years of experience in business law. Zoltán specialises on capital markets and M&A transactions. He has extensive experience advising clients in various sectors, particularly financial institutions.
Zoltán is a member of the Advisory Board of the Capital Markets Law Journal of Oxford University Press and he is on the panel of PRIME Finance, which is a panel of experts on structured finance matters.
Zoltán is the go to person in Hungary on capital markets related matters. In particular, he advised on the first structured bond issue by a Hungarian issuer, the first Euro mortgage bond issued by a Hungarian mortgage bank, the first IPO following implementation of the prospectus directive in Hungary and advises on the first listing of a bond on the Budapest Stock Exchange by a third country issuer.
Other noteworthy experience includes advising:
- Raiffeisen Bank Hungary in relation to the first and second inaugural Growth Bond (NKP) issue of the Cordia Group.
- Masterplast on its inaugural Growth Bond (NKP) issue. The arranger was Raiffeisen Bank Hungary.
- The International Investment Bank in connection with the private placement and listing of its notes on the Budapest Stock Exchange.
- The Bank of China Ltd. in connection with listing of its structured notes on the Budapest Stock Exchange.
- AEGON Credit in relation to the sale of its performing and non-performing mortgage loan portfolio.
- AEGON Lakástakarékpénztár in relation to the sale of its home savings product portfolio.
- Home Credit International on its first European venture capital investment into Hungarian fintech startup Barion.
- General Electric Company on the sale of its lighting business to the former chairman of GE Hungary.
- Central Fund in relation to the contemplated purchase of Lombard Leasing, a leasing company by conducting a due diligence and providing legal advice on structuring matters.
- OTP Bank on the sale of the OTP Garancia insurance companies across the CEE to Groupama, the French insurance group, along with bancassurance and other agreements.
