Advising:

  • W.A.G. payment solutions , a.s. (CZ) on acquisition of a majority interest in Sygic, a.s, leading provider of mobile-app-based navigation.
  • Macquarie Infrastructure and Real Assets (MIRA) on the acquisition of a 30% stake in EP Infrastructure, a portfolio of infrastructure assets (gas TSO, gas DSO, underground gas storages, electricity DSO and gas and electricity suppliers and producers), from EPH.
  • A real estate investment trust company on sale of its logistics parks in Central Europe (Slovakia, Hungary, Poland, Czech Republic).
  • Patrick Hessel, founder of c2i, an innovative manufacturer of carbon components for cars and airplanes on all aspects of his gradual divestment of his stake in c2i to LG Hausys and renegotiation of the existing shareholders’ agreement.
  • Infracapital, the infrastructure investment arm of M&G Investments and one of the largest European infrastructure investment funds, on the acquisition of the CEE utility group GGE, an operator of a number of combined heat and power plants, district heating networks and producer and supplier of heat, electricity and gas.
  • ENEL on the sale of its 66% stake in Slovenské elektrárne, the largest electricity producer in Slovakia, to EPH in two phases, the first of which involves creating a temporary joint venture between ENEL and EPH.
  • Západoslovenská energetika, a.s. on the acquisition of the largest combined heat and power plant in Slovakia (with the installed capacity of 430 MW) from E.ON SE.
  • European Investment Fund on the structuring and implementation of the risk capital co-investment fund in Slovakia with Limerock under JEREMIE Slovakia initiative.
  • Slovak Investment Holding on the structuring and implementation of the co-investment funds in Slovakia in the field of waste management and renewables.
  • Slovak Investment Holding on the debt and quasi-equity financing (together with the European Investment Bank) of GreenWay Group, regional leader of charging stations & services for electric vehicles.
  • European Investment Bank on a set-up of new EUR 50 million venture capital fund in Slovakia (Venture to Future Fund).
