Todd advises financial institutions across a variety of domestic and international finance transactions. He regularly counsels foreign and domestic banks, investment funds, and other financial institutions, as well as borrowers and issuers, on first- and second-lien secured and unsecured loans, leveraged and acquisition financings, asset-based loan facilities, debtor-in-possession financings, restructurings and recapitalizations, and general corporate finance matters.
Todd received his BBA from The University of Georgia and his JD and MBA from Vanderbilt University.
Recent experience includes advising:
- The joint lead arrangers in connection with a USD3.7bn debt financing package for Brookfield Business Partners’ acquisition of Westinghouse Electric Company ("WEC"), a leading global provider of infrastructure services to the power generation industry.
- The sole arranger and agent on the USD1.7bn senior secured credit facilities for a government-outsourced services provider and a publicly-traded REIT, and its U.S and Australian subsidiaries.
- The joint lead arrangers and bookrunners on the USD1.5bn syndicated financing for the acquisition by Ares Management Corporation and Leonard Green & Partners, L.P. of Press Ganey Associates, Inc., a leading provider of safety, quality, patient experience and workforce engagement solutions for healthcare organizations.
- The lead arrangers and the administrative agent on the USD1.045bn syndicated financing for the acquisition by Leonard Green & Partners, L.P. and Novo Holdings A/S of WCG Clinical, the world's leading provider of solutions that measurably improve the quality and efficiency of clinical research.
- A global financial services company on a USD200m senior secured term loan to a portfolio company of a leading North American infrastructure investment firm to finance a distribution in connection with a sale to one of the world’s largest utility companies.
