Shira has a diversified practice in the employment and benefits field, with a primary focus on the Employee Retirement Income Security Act (ERISA). She advises private investment funds and financial institutions on complex ERISA matters, including the application of the Plan Assets Regulation promulgated thereunder and ERISA’s fiduciary and prohibited transaction rules. She advises lenders and borrowers in structured loan facilities, and underwriters, issuers, dealers, collateral managers and investors in asset-backed securities, covered bonds, collateralized loan obligations, derivatives and other structured finance transactions with respect to ERISA.

Shira also has extensive experience advising clients on U.S. employee benefits and executive compensation issues in the context of U.S. and cross-border corporate transactions, including reorganizations and restructurings, mergers and acquisitions, private equity and funding transactions and financing arrangements. She also advises public and private companies and private equity firms on the design and implementation of their annual and long-term incentive compensation plans, hiring and reduction of their workforce, employment, consulting and separation agreements, severance and retention arrangements, restrictive covenants, equity and equity-based incentive compensation arrangements, taxation as it relates to compensation, and securities and regulatory laws.

Shira graduated, cum laude, from Fordham University School of Law in 2008, and with Highest Honors from the Rutgers Business School in 2004. Prior to attending law school, Shira worked as an auditor at PricewaterhouseCoopers LLP. Following law school, Shira worked as an associate in the tax group of a major U.S. law firm for three years before joining Allen & Overy’s U.S. Employment and Benefits practice in 2011.
