​Matthew represents U.S. and foreign private issuers and investment banks in a wide variety of public and private securities transactions, including underwritten offerings and private placements of common and preferred stock, investment grade and high-yield debt and convertible securities, tender/exchange offers and consent solicitations. In addition, Matthew advises clients in a diverse spectrum of industries with respect to corporate governance matters; securities law related aspects of mergers and acquisitions; reporting requirements under U.S. securities laws and the related rules and regulations; and listing requirements and compliance under the rules and regulations of the New York Stock Exchange and NASDAQ.
