Matt is a counsel in the leveraged finance team in our Singapore office, and is one of the most experienced leveraged finance lawyers in the Asia-Pacific. He has over 10 years of experience advising financial institutions, direct lenders, private credit funds and private equity funds, and has advised on some of the largest and most complex leveraged acquisitions in the region.
Matt also has a wide range of general banking and finance experience, including project finance, fund finance (including subscription line and NAV financing), equity-backed lending and general structured lending.
Prior to joining the Singapore office, Matt worked in the A&O Perth and Bangkok offices. Matt has also completed a client secondment to the leveraged finance team at an international bank.

Experience highlights
Advised the mandated lead arrangers in relation to the financing of the USD10.5bn acquisition of Ambuja Cements Limited and ACC Limited (two listed entities in India) by the Adani Group, the largest ever M&A transaction in the infrastructure and materials sector in India.
Advised the mandated lead arrangers in relation to the USD5.4bn public leveraged buyout of Intouch Holdings by Gulf Energy Development, the largest leveraged buyout in Asia for 2021.
Advised the mandated lead arrangers in relation to the USD1.2bn acquisition by Baring Private Equity Asia of Hinduja Global Solutions Limited’s healthcare services related BPM unit, covering operations in India, the Philippines, the US and Jamaica.
Advised the arrangers and global coordinators in relation to a bridge to bond facility and an offering of subordinated unsecured notes pursuant to Regulation S, to finance the acquisition of Aviva, Ltd by a consortium comprising TPG, certain existing shareholders of Singapore Life Pte. Ltd. (Singlife) and Aviva Plc.

Advising:
- BDO Unibank in relation to the term loan facilities to be used to finance the USD810m acquisition by Frontier Tower Associates (a KKR portfolio company) of 3,539 telecom towers from Globe Telecom in the Philippines.
- A direct lending fund in relation to a unitranche facility to finance the USD250m strategic growth investment in Zifo Technologies by TA Associates.
- The mandated lead arrangers in relation to the financing of the USD460m leveraged buyout of J.B. Chemicals & Pharmaceuticals Ltd by KKR. This was KKR’s largest control deal in India to date, and one of its largest control deals in Asia at the time, and was awarded Private Equity Deal of the Year by the IFLR 1000 India Awards 2021.
- The mandated lead arrangers on a USD2.15 bn acquisition facility for San Miguel Corporation, to be used to acquire 85.74% of Holcim Philippines Inc. from certain existing shareholders, and the making of a tender offer to acquire the remaining shares. The deal was named Finance Deal of the Year by ALB Philippine Law Awards 2019.
- The mandated lead arrangers in relation to the financing for the USD1 bn acquisition by Baring Private Equity Asia of CitiusTech Healthcare Technology Private Limited.
- Bank Mandiri, Bank Negara Indonesia and Bank Rakyat Indonesia as senior lenders on the financing and acquisition of PT Newmont Nusa Tenggara (which owns and operates the Batu Hijau gold and copper mine in Indonesia) by PT Amman Mineral Internasional at a valuation of over USD1 bn.
- The mandated lead arrangers in relation to a USD400m subscription line and NAV facility for a private equity fund.
- The mandated lead arrangers on a USD180m leveraged senior loan provided to Viz Branz, in relation to the acquisition of a majority stake in Viz Branz (with operations across South East Asia and China) by Investcorp.
- EMR Capital and Farallon Capital on the USD775m financing and acquisition of PT Agincourt Resources, which owns and operates the Martabe gold and silver mine in Indonesia.
- The mandated lead arrangers in connection with Advent International’s financing for its USD330m acquisition of a majority stake in Manjushree Technopack Limited, an Indian packaging solutions company.
