Marcela is an International Associate in the International Capital Markets, General Securities Group based in Allen & Overy’s New York office.

Her practice has an emphasis on structured deals, encompassing an array of services such as debt and equity financings, securitizations, mergers and acquisitions (M&A), and comprehensive capital markets transactions. Before joining Allen & Overy in 2023, Marcela developed solid transactional expertise with focus on the real estate industry. 
She has a bachelor’s in law degree from Universidade Católica de Pernambuco, and holds a Master's from the University of Pennsylvania Carey Law School with a joint Business and Law Certificate from The Wharton School. She also attended an LL.M. in Contract Law INSPER - Instituto de Ensino e Pesquisa and holds a Certificate in Real Estate Investments from INSPER - Instituto de Ensino e Pesquisa. Marcela is fluent in English and Portuguese, and she is proficient in Spanish.

Marcela is acknowledged as a leading lawyer, having been recognized in Chambers Brazil 2022 under “Associates to Watch” and Legal 500 2022 as a “Rising Star.” A client shared with Chambers Brazil that “Marcela, besides being extremely attentive and friendly, is a professional off the charts.” Another client remarked “[good results and intense dedication to the projects.”

Pro bono

  • Advised a nonprofit cancer hospital in Rio de Janeiro on real estate matters in the context of its corporate restructuring.
  • Cielo, the largest Brazilian credit and debit card operator, and the biggest payment system company in Latin America by both revenue and market value, with general financing advice and corporate law advice.
  • Acted in the post-closing of BRF’s issuance of 600 million new common shares with a total value of USD 1.1 billion.
  • Advised a Brazilian multi-market investment fund in the renegotiation of a Global Derivatives Contract signed with an Australian company in connection with a previous syndicated loan agreement.
  • Currently advising a global finance corporation in the international social bond issuance (whose proceeds can only be used for socially relevant, ESG investments) by a Brazilian bank, to be listed in Luxembourg.
  • Currently advising FPIs (Foreign Private Issuers) on fulfilling their disclosure and filing obligations with the SEC (Securities Exchange Commission) in the USA, including their annual reports.
  • Responsible for the due diligence of the Brazilian operation of a Spanish steel company, in a spin-off operation and subsequent M&A sought by an investment fund based in the Middle East.
