Hartmut has more than 20 years’ experience in public and private M&A, corporate and capital markets law and a strong track record in various industries.

Admitted to practise as German Rechtsanwalt, Civil Law Notary and New York Attorney-at-law, he advises on public tender offers, corporate acquisitions and disposals, auction sales, LBOs/MBOs, public-to-private transactions, post-takeover integration, joint ventures, corporate reorganisations, boardroom and other strategic matters. The bulk of his work is cross-border in nature and involves the co-ordination of multi-jurisdictional teams.

Over the years, Hartmut established himself as trusted advisor to a number of listed and non-listed German and non-German companies. All relevant independent directories recommend him as a leading individual.

Hartmut co-authors one of the leading commentaries on the German Takeover Act and the leading German handbook on the EU Market Abuse Regulation, has published and lectured widely on topics of corporate and capital markets law, and provided expert testimony in the Finance Committee of the German Federal Parliament. He served as a vice chair of the M&A and Joint Ventures Committee of the International Section of the American Bar Association.

  • Deutsche Börse on the acquisition of Swisscanto Funds Centre from ZKB Zürcher Kantonalbank, the tripartite joint venture with the Shanghai Stock Exchange and the China Foreign Currency Exchange, and the disposal of ISE International Stock Exchange, Inc. to NASDAQ, Inc.
  • DPE Deutsche Private Equity on the divestment of J.H. Ziegler GmbH, a manufacturer of multilayer products for automobile seats as well as for acoustic insulation for passenger compartments, to Teijin Frontier Co. Ltd.
  • KWS SAAT SE on the transformation into a partnership limited by shares (Kommanditgesellschaft auf Aktien – KGaA), a capital increase and stock-split, and on the cross-border merger with a Spanish subsidiary.

  • Royal KPN on the EUR 8.5bn disposal of German mobile phone operator E-Plus to its competitor Telefónica Deutschland, a listed company, for a consideration consisting of cash and new listed shares in Telefónica Deutschland.
  • Schaeffler on the EUR12.1bn hostile takeover bid for Continental.
  • Three Japanese financial institutions on the Brexit-driven “onshoring” of financial services activities from London to Frankfurt.
