Claire is a corporate finance expert and advises a range of clients on private and public M&A, equity capital markets transactions, corporate governance and shareholder activism. In 2018, Claire was shortlisted for Euromoney’s Women in Business Law Awards in the Corporate Rising Star category.

Claire spent six months on secondment to Allen & Overy’s Dubai office in 2011.

Relevant experience includes advising:

  • Allianz SE on its GBP 1bn retail insurance joint venture with Liverpool Victoria Friendly Society Limited and its subsequent buy-out of LVFS’s interest in the JV.
  • Arqiva Group on its dual-track sale process culminating in a proposed GBP 6bn IPO.
  • Aviva plc on its GBP5.6bn recommended all-share acquisition of life insurance specialist Friends Life Group Limited.
  • A global financial services group and The Royal Bank of Scotland on the auction sale of USP Hospitales (a Spanish hospital group) to Doughty Hanson.
  • Caisse De Dépôt Et Placement Du Québec on the establishment of a USD3.7bn investment vehicle in partnership with DP World Limited.
  • Cox & Kings Limited, the Indian-listed travel group, on the syndication of its equity investment in Holidaybreak to Citigroup Venture Capital International.
  • Electra Private Equity PLC on its defence against New York activist, Edward Bramson, its ongoing strategic review and corporate governance matters.
  • GlaxoSmithKline on the GBP1.3bn disposal of its nutritional drinks brands, Lucozade and Ribena, to Suntory Beverage & Food, the Japanese consumer goods company.
  • Goldman Sachs, Morgan Stanley and Royal Bank of Canada as underwriters on the IPO of CMC Markets plc.
  • HarbourVest Partners on the proposed USD1.3bn hostile takeover of SVG Capital.
  • Iberdrola S.A. on the disposal of its 50% JV interest in a UK nuclear power plant development.
  • Katharina Liebherr on the sale of Southampton Football Club.
  • Loxam SAS on its GBP460m takeover of Lavendon Group plc
  • Man Group plc on its redomicile to Jersey, involving a new admission to trading and an internal corporate and governance reorganisation
  • MBNA Europe Bank Limited (a subsidiary of Bank of America Merrill Lynch) on the sale of Premium Credit Limited to GTCR (a Chicago-based private equity outfit).
  • This sale involved a simultaneous securitisation of the target assets to finance the acquisition.
  • Premier Farnell plc on the proposed takeover by Datwyler Holding AG and the successful competing bid by Avnet Inc which valued the target at GBP690m.
  • Premier Farnell plc on its class 1 disposal of Akron Brass.
  • A Premier League football club on crisis management and corporate governance issues.
  • Security Benefit Corporation on its debt financing of Sunderland Association Football Club.
  • Sirius Minerals plc on the recommended GBP 400m takeover of it by Anglo American plc.
  • TP ICAP plcon its proposed redomicile to Jersey.
  • TUI AG on the sale of Travelopia to private equity investor Kohlberg Kravis Roberts & Co. LP for an enterprise value of EUR 381m.
  • Universities Superannuation Scheme’s GBP 573m takeover bid for KCOM Group PLC.
  • Virgin Active on a dual-track process which resulted in a GBP1.3bn trade sale.
  • Virgin Money Holdings (UK) plc on its GBP 4.4bn merger with CYBG plc.
