EU green paper on corporate governance in listed companies

13 April 2011

The European Commission has launched its public consultation, to examine the effectiveness of the current EU corporate governance framework, by publishing a green paper: The EU corporate governance framework.

The Green Paper consists of 25 questions and seeks views on possible ways forward at the EU and EEA levels. It applies to corporates as well as financial institutions. In particular, it addresses three subjects, which are at the "heart" of good governance: effective functioning of the board of directors; enhancing shareholder engagement and improving the monitoring and enforcement of existing national corporate governance codes, by considering how to enhance the 'comply or explain' approach.
We have produced an eAlert highlighting some of the main issues and recommendations in the Green Paper and contrast these with some of the findings in our recent EU Corporate Governance Report.

If you would like to receive a copy of the eAlert and/or our recent EU Corporate Governance Report, please speak to your usual Allen & Overy contact or email
