Allen & Overy is advising Pathé and IDG Capital in relation to their entry into exclusive negotiations with Eagle Football Holdings LLC for the sale of their stakes in Olympique Lyonnais Group. 

Holnest, the holding company and family office of Jean-Michel Aulas, CEO and Chairman of the Board of Directors of Olympique Lyonnais Group, will also sell part of its stake to Eagle Football Holdings LLC.

Eagle Football Holdings LLC is the holding company of the interests of Mr. John Textor and Mr. Jamie Salter in world-class football clubs. Eagle Football Holdings LLC will also subscribe to a capital increase of EUR86 million as part of the transaction and will become the majority shareholder of OL Group.

The signing of the final agreements with respect to the transaction is subject to prior consultation with OL Group’s works councils.

This transaction will be followed by a simplified mandatory tender offer.
