Allen & Overy LLP has advised Cleanpart Group GmbH (Cleanpart), a portfolio company of Deutsche Beteiligungs AG (DBAG), on the sale if its healthcare business to VAMED, a service provider for hospitals that is majority-owned by Fresenius SE & Co. KGaA.  Cleanpart intends to focus on services for the semiconductor industry in future.

The healthcare business accounted for more than 20% of the sales revenues of the Cleanpart Group.  In the context of this business the company took over the decontamination of reusable medical devices as third-party service provider for hospitals.  The services included the manual or mechanical cleaning or sterilisation as well as repair and maintenance of instruments, among other things.  Cleanpart also advised hospital operators on planning, building and operating central sterilisation units.

In April 2015 DBAG and the DBAG Fund VI advised by it made an investment in Cleanpart; Allen & Overy advised DBAG in connection with this investment.

The Allen & Overy team was led by partner Dr. Markus Käpplinger and comprised counsel Nikolai Sokolov (both Private Equity/M&A, Frankfurt), partners Thomas Neubaum (Banking and Finance) and Dr. Asmus Mihm (Tax), counsel Bianca Engelmann (Banking and Finance), senior associate Tim Spranger (Tax, all Frankfurt) and associate Milosz Cywinski (Corporate, Brussels).
