Zineb is a corporate and capital markets lawyer with extensive experience in advising clients on complex and cross-border transactions. 

She has acted for issuers, underwriters, shareholders and financial intermediaries on a range of matters, such as M&A deals, public takeovers, IPOs and bond issues. She also has in-depth knowledge of the regulatory framework and market practices applicable to listed companies and financial/regulated institutions.

In addition, Zineb has a strong background in regulated and non regulated investment funds work (securitization vehicles, real-estate funds, private equity funds).

Zineb's clients include leading banks, asset managers, insurance companies and corporate groups, as well as emerging and innovative players in the fund industry.

Representative matters

A pool of Moroccan institutional investors on their acquisition from the Wilmar group of its entire stake in Cosumar S.A. , a company listed in the Casablanca Stock Exchange, representing 30.05% of the share capital, in consideration of a price of circa. USD 600 million.

Holmarcom on the acquisition of Crédit du Maroc from Crédit Agricole for over EUR 350m.

A group of financial services provider in connection with the mandatory tender offer (MTO) over Sanlam Maroc shares, a company listed on the Casablanca Stock Exchange active in life and non-life insurance business in Morocco.

Veolia in relation to its MTO on Suez Morocco assets (Lydec) and delisting from the Moroccan stock exchange.

Advising the World Bank in relation to a survey on woman’s rights and minority rights in Morocco

Advising French human rights charity in relation to the official recognition of the association as “public utility”
