Advised WillScot Corporation on its stock-for-stock merger with portable storage solutions provider Mobile Mini, Inc. and related financing, including a $2.4 billion ABL credit facility and offering of $650 million of senior secured notes.
Represented EG Group on its acquisition of Cumberland Farms, which operates approximately 600 convenience retail stores and fuel stations across the U.S.
Represented the initial purchasers including Goldman Sachs & Co. LLC, Credit Suisse, Jefferies, Nomura, RBC Capital Markets on a Rule 144A/Reg. S offering by H-Food Holdings, LLC and Hearthside Finance Company, Inc. of $350 million aggregate principal amount of 8.500% senior notes due 2026 in connection with its acquisition by Partners Group and Charlesbank.
Advising Algeco Scotsman, a portfolio company of TDR Capital, on the restructuring and USD1.1bn carve out sale of its North American modular space and portable storage business, Williams Scotsman, to a Nasdaq-listed special purpose acquisition company, including the USD900 million committed debt financing.
