Advised WillScot Corporation on its stock-for-stock merger with portable storage solutions provider Mobile Mini, Inc. and related financing, including a USD2.4bn ABL credit facility and offering of USD650m of senior secured notes.
Represented EG Group on its acquisition of Cumberland Farms, which operates approximately 600 convenience retail stores and fuel stations across the U.S.
Represented the initial purchasers including a group of financial institutions on a Rule 144A/Reg. S offering by H-Food Holdings, LLC and Hearthside Finance Company, Inc. of USD350m aggregate principal amount of 8.500% senior notes due 2026 in connection with its acquisition by Partners Group and Charlesbank.
