As an advocate specialising in M&A and corporate law, Jakub advises on domestic and cross-border transactions involving the sale of shares and assets, as well as mergers, demergers, spin-offs, transformations of companies and structuring of joint ventures.

He has significant experience in providing transactional advice to international investors and coordinating multijurisdictional reorganizations of capital groups at every stage of a transaction, both on the private and public markets.

Jakub has advised global clients involved in capital market deals, as well as private equity and venture capital transactions, in various sectors of the economy, especially in the Technology, Educational and Manufacturing sectors. Jakub guides investors establishing businesses in Poland by advising them to select the most optimal legal structure for their activity. He provides complex legal support on corporate governance related matters and streamlining the management by way of intra-group reorganizational processes. Furthermore, Jakub supports clients on strengthening their market presence through mergers and acquisitions, by coordinating and executing transactions, as well as advising on post-merger integration activities, focused on facilitating the synergy of the business.

International Schools Partnership, a leading organisation that develops educational units, on the acquisition of Akademeia Educational Group (AEG), the operator of an independent, academically selective school in Warsaw. AEG is considered to be Poland’s top private education group.

Sygnity S.A., a Polish listed company operating as a part of Topicus.com/TSS and Constellation Software, on the acquisition of Sagra Technology sp. z o.o., a leading Polish software company specializing in technological solutions such as Business Intelligence, Sales Force Automation, Mobile Business Solutions, and Data Discovery.

Abris Capital Partners, a private equity fund operating through its portfolio company, in relation to the acquisition of shares in a leading Polish recycling group.

A leading European vertical market software group, on the tender offer and acquisition of a public IT company specializing in implementing ERP, HCM, CRM, BI and workflow class systems, listed on the Warsaw Stock Exchange (previous firm experience).

Pro bono

Advising Fundacja Święty Mikołaj dla Seniora, a foundation helping seniors and people with disabilities living in long-term care facilities such as nursing homes or care and treatment centers, in obtaining the status of a Public Benefit Organization (OPP).
