Advising DPE Deutsche Private Equity on sale of Ziegler Group to Teijin Frontier

Allen & Overy advises DPE Deutsche Private Equity on the sale of J.H. Ziegler GmbH to Teijin Frontier Co., Ltd.
Led by Dr Hartmut Krause and Dr Roman Kasten, the Allen & Overy team provides comprehensive advice to DPE with regard to this transaction, covering all legal aspects including antitrust, employment, competition and tax law. The transaction will be consummated once the required merger clearance has been obtained.
Ziegler Group is a leading manufacturer of laminated products for car seats and acoustic absorbers for vehicle interiors. In 2014, DPE acquired the majority of shares in Ziegler. Under DPE's management, turnover went up from EUR 44 million (2013) to just above EUR 75 million (2018). At the same time the number of staff rose by almost 50% to currently more than 400.
Teijin Frontier is a member of the Japanese chemicals and pharmaceuticals group Teijin, which generates an annual global turnover equivalent to around EUR 6 billion with a staff of approx. 20,000. Teijin is listed on the Tokyo stock exchange (TSE: 3041).
DPE Deutsche Private Equity is an independent German holding company with an investment focus on medium-sized enterprises in German-speaking regions. DPE was founded in 2007 and has since acquired equity holdings in 21 enterprises which made 48 follow-up investments and today employ more than 7,300 staff. DPE manages assets worth around EUR 1.2 billion.
