Allen & Overy advises E.L.A. Vermögensverwaltung GmbH on takeover of IC Immobilien Holding AG

E.L.A. Vermögensverwaltung GmbH has taken over all shares in IC Immobilien Holding AG. The remaining minority shareholders were bought out by way of a squeeze-out under German stock corporation law against payment of a cash settlement.
IC Immobilien Holding AG is a real estate service provider active in the fields of property, asset, project, centre, letting, investment and fund management. With assets under management worth EUR 10 billion, spread across around 500 properties, IC Immobilien Holding AG is one of the major independent premium full-service providers for commercial properties in Germany. The strategic objective of E.L.A. Vermögensverwaltung GmbH is to continue the expansion of IC Immobilien Holding AG in the future by fully integrating the company into its group structure.
The squeeze-out of minority shareholders was resolved at an extraordinary general meeting of IC Immobilien Holding AG in late December 2019 and has now taken effect upon registration in the commercial register.
The Allen & Overy team comprised partner Dr Hans Schoneweg, counsel Dr Jonas Wittgens, senior associate Dr Moritz Merkenich and associate Dr Jan-Benedikt Fischer (all Corporate/M&A, Hamburg).
The team also advised on the acquisition of the majority stake prior to the squeeze-out and the preparation of the general meeting.
