Allen & Overy has advised House of HR, the leading European service group active in the field of HR, in connection with the implementation of its German expansion plans by the acquisition of German avanti GmbH, a leading healthcare staff solution provider, and its subsidiaries. The acquisition underpins House of HR’s trust in the German market’s growth potential and at the same time marks its entrance in the specialized healthcare staffing domain.

The avanti group offers specialized talent solutions, recruiting and secondment in the field of healthcare (such as nurses, intensive care staff, other hospital support personnel etc.).  The company was founded in 2000 in Hamburg and has 14 offices throughout Germany, with an internal staff of 220 people, and about 1,700 people at work at more than 1,000 customers.  The acquisition is still subject to customary regulatory approval.

The Allen & Overy team led by M&A partner Dr Matthias Horn has advised House of HR on all aspects of the transaction, including setting-up of the acquisition structure, management re-investment, employment, tax and real estate advice.

The Allen & Overy team was led by partner Dr Matthias Horn and associate Dr Matthias Taggeselle (both Corporate/M&A).  The team further comprised partner Dr Heike Weber (tax), counsel Dr Sebastian Schulz (Employment), senior associates Dr Riccardo Marinello (Real Estate, all Frankfurt) and Dr Marcus Mackensen (Corporate/M&A, Hamburg) as well as the associates Lisa Wantzen (Employment), Sven Bischoff (Tax), Alan Markgraf (Banking & Finance, all Frankfurt) and Fabian Kolf (Antitrust, Hamburg).

House of HR’s inhouse legal team comprised Thomas Martens (Head of Legal) and Delphine Vandenabeele (M&A Legal Counsel).
