Allen & Overy advises Evergreen Garden Care on the acquisition of gpi green partners

Allen & Overy has advised Evergreen Garden Care Deutschland GmbH (“Evergreen”) in connection with the acquisition of all shares in gpi green partners international GmbH & Co. KG.

The transaction also includes gpi’s shareholdings in GPL Green Partners Logistics GmbH, a raw materials logistics company, and in NFI NorthFertilizerIndustry GmbH & Co. KG, a supplier of organic and organic-mineral fertiliser mixtures. With this acquisition, Evergreen has paved the way for additional growth. The parties have agreed not to disclose the purchase price.

gpi green partners international, based in Gladbeck in North Rhine-Westphalia, is one of the leading companies in the production and marketing of fertilizers as well as plant protection products for hobby gardeners via DIY stores, garden centres and specialist trade. The Company acts as a private label producer for big garden centres and DIY stores and sells products under its three own brands Gärtner’s, QUADRO and EXTRA.

Evergreen Garden Care was established in 2017 by the carve-out acquisition of the international business of US based Scott’s Miracle-Gro Company by London based private equity company Exponent Private Equity and is the leading garden care company in Europe and Australasia. The company is already established in the market with the labels Substral, Roundup, Nexa Lotte, Substral Naturen and Substral Celaflor.
