Advising capiton on acquisition of AEMtec GmbH

Allen & Overy has advised capiton V GmbH & Co. Beteiligungs KG (capiton) on the acquisition of the Berlin-based micro- and optoelectronics company AEMtec GmbH by way of a management buy-out from exceet Group AG with its seat in Switzerland, which is owned by the listed holding company exceet Group SE, with its seat in Luxembourg. Once the transaction has been completed, a capiton holding company and the AEMtec management will hold 100% of shares in the company.
The transaction is being financed by capiton V GmbH & Co. Beteiligungs KG, capiton's current investment fund, and bank financing. Allen & Overy also advised on the bank financing and the repayment of the current operative financing facility.
AEMtec plans to generate total revenues of around EUR 50 million in 2018. The company intends to undergo substantial growth via increased internationalisation and product expansion, thereby leveraging its leading market position. Further an organic growth is to be achieved through acquisitions, with additional funding having been reserved for this purpose by capiton V GmbH & Co. Beteiligungs KG.
The transaction is still subject to clearance by the competent competition authorities.
