Victor has extensive experience of working on Asian and PRC-related transactions, having lived and worked in the region since 1991. Victor’s practice is characterised by its depth and breadth of experience and involves representing multinational clients with their China-related matters, and Chinese clients investing globally. As a strategic adviser to his key clients, his corporate and M&A practice involves advising on a wide range of cross-border transactions, as well as sensitive, significant regulatory and compliance issues.

Victor has spearheaded the build-out of A&O’s multidisciplinary China platform, including actively leading the development of the group’s antitrust, data, IP, regulatory and compliance offerings. Increasingly, this has involved advising clients on the development of their China-related strategies, in which M&A, antitrust, data, digitalisation, partnerships and IP play key and integrated roles. Victor speaks English, Mandarin and Cantonese.

Advising: 

  • Ant Financial (China’s largest digital payment and diversified fintech company) on a range of cutting-edge issues.
  • A multinational pharmaceutical corporation on a number of matters, ranging from its acquisitions in China (vaccines, eye-care and diagnostics), to strategic matters (restructuring, strategic assessments, crisis control, review of legal and business organisational structures), to compliance and regulatory matters (investigations, FCPA/bribery issues, review of distribution arrangements), and a number of antitrust matters.
  • TripAdvisor, the world’s largest travel community, on various transactions in China, including: its sale of Kuxun, a Beijing-based online travel business, to Meituan, a prominent Chinese consumer group-buying platform, as part of TripAdvisor’s strategy to reshape its China business; and a potential e-commerce JV to offer entertainment and leisure services to outbound PRC tourists.
  • International Paper Company on a series of acquisitions and disposals, including the sale of its Asian corrugated box business to Xiamen Bridge Hexing Equity Investment Partnership Enterprise, a special purpose acquisition fund associated with Xiamen Hexing Paper Packaging (a company listed on the Shenzhen Stock Exchange) and its disposal of its Shorewood packaging business assets in Greater China and Europe into the portfolio company packaging business of private equity firm, Atlas.
  • Magna International Inc on a number of acquisitions and joint ventures in the automotive component sector in China, including advising Cosma, the body stamping division of Magna International Inc., on the strategic combination of its existing China entity with the body stamping operations of Chongqing Xingqiaorui, a leading, privately owned Tier 1 supplier of automotive body-in-white components group in the PRC and a key supplier to Chang’an Ford.
  • Alibaba (one of China’s largest e-commerce and digital companies) in respect of a range of issues and transactions.
  • A telecoms company on its outbound equity investment panel.
