  Stephen Mathews



Stephen has experience in a wide range of commercial and corporate finance transactions, including mergers and acquisitions, joint ventures, private equity transactions and equity issues. He frequently advises on cross-border as well as UK-based transactions and has also spent 18 months on secondment to Allen & Overy's Tokyo office.

Stephen has particular expertise in relation to:

mergers, acquisitions and joint ventures;

transactions involving financial institutions, including asset managers, insurance companies and banks;

transactions involving partnerships and LLPs; and

the corporate aspects of restructurings.

Japanese listed company Outsourcing Inc on a number of acquisitions in the UK including J.B.W Group, Liberata UK and Allen Lane Consulting.

Asahi Group Holdings on its EUR2.55bn acquisition of Peroni, Grolsch and Meantime from SABMiller.

The shareholders of aviation leasing manager Aldus Leasing Limited on its disposal.

TUI AG on its cross-border all-share merger with TUI Travel plc, which was implemented by way of a scheme of arrangement in the UK coupled with a capital increase by way of a contribution in kind in Germany (the first time such a structure has been used), following which TUI AG has become the first German company listed on the premium segment of the London Stock Exchange and the first German member of the FTSE 100.

Old Mutual Wealth on its GBP585m acquisition of the Quilter Cheviot Group.

BAE Systems on the reorganisation of its portfolio of interests in a number of industrial companies in the Kingdom of Saudi Arabia and an enhancement of its existing joint venture relationship with Riyadh Wings Aviation Academy LLC.

Stephen has advised on the corporate aspects of a number of major restructurings, including Stemcor (for the lenders), PHS Group (for the company) and Autobar Group (for the company).

Deutsche Bank on an investment in a real estate business.

Hermes GPE, as adviser to the BT pension fund, of an investment in Thames Water.

Mitsui & Co on a proposed acquisition and joint venture in relation to renewable power assets.

A leading investment bank on its investment in a financial services LLP.

BAE Systems on the USD187m disposal of its regional aircraft leasing and asset management business based in the UK, Jersey, Ireland and the U.S. to Falko, a private equity backed buyer.

The Bank of Tokyo-Mitsubishi  UFJ on its acquisition of a portfolio of project finance loans and associated assets worth GBP3.3bn from RBS Group.

AECOM Technology Corporation on its USD324m multi-jurisdictional acquisition of Davis Langdon.

Thames River Capital and its shareholders on its GBP53.6m disposal to F&C Asset Management and the associated demerger of interests in Nevsky Capital.

The UK Managing Directors of a leading consultancy on its conversion into an LLP.

RSA on its GBP28m disposal of UK reinsurer British Engine to Enstar.

Societe Generale on the sale of interests in private equity limited partnerships.
