Stephen has experience in a wide range of commercial and corporate finance transactions, including mergers and acquisitions, joint ventures, private equity transactions and equity issues. He frequently advises on cross-border as well as UK-based transactions and has also spent 18 months on secondment to Allen & Overy's Tokyo office.

Stephen has particular expertise in relation to:

-          mergers, acquisitions and joint ventures;

-          transactions involving financial institutions, including asset managers, insurance companies and banks;

-          transactions involving partnerships and LLPs; and

-          the corporate/equity aspects of restructuring.

Experience highlights include advising:

-          NEC Corporation, a Japanese and global leading IT service provider listed on Tokyo Stock Exchange, on its acquisition of UK-based IT services company, Northgate Public Services Limited, for GBP475m from private equity firm Cinven and other shareholders including management.

-          Quilter plc (formerly Old Mutual Wealth Management Limited) on its demerger from the Old Mutual Group and its proposed listing and IPO on the London Stock Exchange and Johannesburg Stock Exchange.

-          Quilter plc (formerly Old Mutual Wealth Management Limited) on its GBP600m disposal of Old Mutual Global Investors to TA Associates and management.

-          Ontario Teachers Pensions Plan, Caisse de Depot et Placement du Quebec and management on their USD875m sale of Catalina Holdings to funds managed by Apollo.

-          Stephen has advised on the corporate aspects of a number of major restructurings, including Interserve, (for the senior lenders), Co-op Bank (for Co-op Group), Premier Oil (for the senior lenders), Stemcor (for the senior lenders), PHS Group (for the company) and Autobar Group (for the company).

-          Lloyds Banking Group and HSBC on the sale of their interests in Visa Europe and associated arrangements in connection with the EUR16.5bn acquisition of Visa Europe by Visa Inc.

-          Japanese listed company Outsourcing Inc on a number of acquisitions in the UK including J.B.W Group, Liberata UK and Allen Lane Consulting.

-          Asahi Group Holdings on its EUR2.55bn acquisition of Peroni, Grolsch and Meantime from SABMiller.

-          The shareholders of aviation leasing manager Aldus Leasing Limited on its disposal.

-          The members of River and Mercantile Asset Management LLP on its merger with asset solutions business P-Solve Limited. The LLP members sold their capital interests in the LLP to P-Solve in consideration for shares in P-Solve and new LLP agreement was put in place.

-          TUI AG on its cross-border all-share merger with TUI Travel plc, which was implemented by way of a scheme of arrangement in the UK coupled with a capital increase by way of a contribution in kind in Germany (the first time such a structure has been used), following which TUI AG has become the first German company listed on the premium segment of the London Stock Exchange and the first German member of the FTSE 100.

-          Old Mutual Wealth (now Quilter Plc) on its GBP585m acquisition of the Quilter Cheviot Group.

-          BAE Systems on the reorganisation of its portfolio of interests in a number of industrial companies in the Kingdom of Saudi Arabia and an enhancement of its existing joint venture relationship with Riyadh Wings Aviation  Academy LLC.

-          Deutsche Bank on an investment in a real estate business.

-          Hermes GPE, as adviser to the BT pension fund, of an investment in Thames Water.

-          BAE Systems on the USD187m disposal of its regional aircraft leasing and asset management business based in the UK, Jersey, Ireland and the U.S. to Falko, a private equity backed buyer.

-          The Bank of Tokyo-Mitsubishi  UFJ (now MUFG Bank) on its acquisition of a portfolio of project finance loans and associated assets worth GBP3.3bn from RBS Group.

-          AECOM Technology Corporation on its USD324m multi-jurisdictional acquisition of Davis Langdon.

-          BAE Systems on the USD140m disposal of its intertial products division based in the UK, U.S. and Japan to J.F.Lehmann.

-          SMBC on its GBP500m investment in a global financial services group via a firm placing.

-          Alliance Unichem on its GBP7bn merger with its fellow FTSE 100 company Boots Group to form Alliance Boots.

-          The shareholders of BCA Holding on the GBP450m acquisition of British Car Auctions by Montagu Private Equity.

-          WPP Group on the interposition of a new holding company for the WPP Group via a scheme of arrangement and the GBP7.75bn re-listing of that new holding company

-          Pfizer on the acquisition of an English drug-delivery company.

-          Deutsche Bank on its exit from its EUR1.5bn late stage private equity portfolio.
