Allen & Overy advises PATRIZIA Alternative Investments GmbH as facility agent on the acquisition of LBBW Immobilien GmbH

Allen & Overy LLP advised PATRIZIA Alternative Investments GmbH, a wholly-owned subsidiary of PATRIZIA Immobilien AG, as facility agent on the acquisition of LBBW Immobilien GmbH.  

The purchase price for a total of 21,000 flats was approx. EUR 1.4 billion.  The transaction is still subject to clearance by the cartel authorities.  Completion is expected to occur in the first quarter of 2012.

The syndicate led by PATRIZIA Alternative Investments GmbH comprises various German and foreign investors pursuing long-term investment objectives.  PATRIZIA itself will participate as an equity investor. 

In this context, Allen & Overy provided comprehensive, integrated advice to PATRIZIA on the legal and tax structuring of the investment, the financing, and the acquisition itself.  This task required a cross-practice team, led by Frankfurt private equity/M&A partner Dr. Michael Bernhardt, who advised PATRIZIA on all aspects of tax, finance, antitrust and employment law as well as on all M&A-related and regulatory issues.
