Olga Mrowiec

Associate

Olga specializes in project finance, acquisition finance and general lending transactions. 

She has extensive experience in advising on complex domestic and cross-border financings or refinancings in various sectors, such as energy, infrastructure and telecoms. She is also a member of the firm's Projects, Energy, Natural Resources and Infrastructure (PENRI) groups in Warsaw and the CEE region.

Olga is a trusted adviser to international and domestic banks, financial institutions, private equity funds and public entities. She helps them structure, negotiate and execute their financing transactions in a timely and efficient manner, while addressing the legal risks involved. She has been praised by clients and peers for her commercial acumen, responsiveness and problem-solving skills.

Experience

Representative matters

Enea S.A. on three financings totalling PLN 3bn, including one from PKO Bank Polski and Bank Pekao S.A. to support the development of renewable energy sources, and two from EIB for investment in the electricity distribution network.

MS Galleon and Barlinek on EUR 440m and EUR 100m investment loan facility agreements governed by Polish law provided by Bank Gospodarstwa Krajowego, Bank Pekao and PKO Bank Polski.

The lenders on a PLN 5.125bn term and revolving facilities for financing of Polski Światłowód Otwarty sp. z o.o. (a JV of (i) Polish telecom Play; and (ii) French PE fund specialising in infrastructure investments InfraVia Capital Partners). The main purpose of the financing is to finance and refinance the capital expenditures in relation to the development of FTTH (fiber-to-the-home) infrastructure in Poland.

A club of lenders on a landmark transaction of EUR 863.5m financing for BalticHub sp. z o.o. (previously operating under the name DCT sp. z o.o.) in relation to, among others, the construction of Terminal 3 of the deep-water container terminal in Gda?sk. The Sponsors were PFR, IFM and PSA - one of the largest port operators in the world, present in 42 countries, managing ports in 160 locations and in 66 terminals.
