Kyrill advises on a wide range of corporate law related matters, including German partnership law, limited liability company law (GmbH-Recht), stock corporation law (Aktienrecht), including European company (societas Europaea) law and group law (Konzernrecht) in the context of complex international transactions.

Kyrill is an experienced lawyer with a demonstrated history of advising national and international businesses and investors as well as banks on cross-border private and public M&A transactions, joint ventures, restructurings and corporate housekeeping.

Kyrill works with firm’s key clients across multiple jurisdictions; thereby, he successfully applies his deep expertise in diverse sectors with focus on technology sector, but also including energy, financial services, life sciences, real estate and private equity.

Kyrill is member of firm’s Ukrainian Desk and actively engaged in guiding clients acquiring businesses in Ukraine or establishing operations in Ukraine in close coordination with our Ukrainian relationship law firms.

Avenga, an international IT service provider and consulting group specializing in digital transformation, on the acquisition of Ukrainian-based PerfectialGroup, a specialized software development services provider.

Econocomon acquisition of Energy Net GmbH, a German provider of IT products (B2B) in the marketing and distribution sector.

ElsterGroup SE – as target company of the USD 2.8bn public takeover by Melrose plc pursuant to US tender offer rules as well as on particularities regarding legal form of a SE.

Long-standing M&A transaction advice totalling more than EUR3bn. for CORESTATE Capital Holding S.A., a leading independent real estate investment manager in Europe. This also includes entering the French market through the acquisition of STAM Europe and supporting on various capital measures (IPO, bond, convertible, equity capital measures). Scout24 as target of the planned EUR5.7bn public offer by Hellman&Friedmann/Blackstone as well as the successful completion of a public EUR800m buyback offer (including listed tender rights) and the conversion into Societas Europaea.

Pro bono

Supporting Jewish survivors in relation to payment of pensions on the basis of German law regarding compensation for employment in a Ghetto.

Organization of humanitarian aid to a Ukrainian hospital following invasion of Ukraine.

Assisting a non-profit organization in supporting Ukrainian refugees fleeing Ukraine as a result of its invasion by Russia.

Coordination of advice of Ukrainian IT enthusiasts in relation to establishment of a platform/marketplace allowing people from Ukraine to find jobs, inter alia, in Germany.
