Jackson Allen

Counsel

Jackson is an energy specialist with extensive experience in a variety of jurisdictions in Asia, Africa and Australia. Jackson has a strong background advising oil and gas projects and market-leading expertise in energy transition.

Jackson has a deep understanding of marketing and sales arrangements, in particular negotiating and drafting offtake agreements for oil, gas, LNG, condensate, hydrogen (and related vectors, such as ammonia). Jackson advises on M&A, joint venture structuring, project development and regulatory issues, with a focus on LNG, gas, hydrogen, CCUS and renewable power. Jackson’s experience also extends to sale, construction and use of infrastructure including terminals, pipelines, storage facilities and power generation.

Jackson’s deep industry knowledge and experience with every stage of energy value chains (across a variety of vectors) allows him to work with clients to ensure that each element fits within the broader context to minimise risks, achieve commercial outcomes and retain operational efficiency. This includes integrating decarbonisation components (such as CCUS, renewable power and offsets / carbon credits) into energy projects, both traditional and transition.

Experience

Representative matters

SK E&S on the proposed development of the Caldita Barossa gas fields in the Timor Sea and LNG processing via the Darwin LNG plant and associated CCS project, including tolling arrangements, offshore pipeline/tie-in arrangements and carbon storage and transport agreements.

Fortescue Future Industries on offtake arrangements for hydrogen and associated vectors, including development of a template offtake agreement.

Negotiation and drafting of LNG SPAs for sellers and buyers including JERA, Pertamina, Brunei LNG, APLNG, Novatek, MIMI and others as well as review and amendment of offtake arrangements in the context of financing for Rovuma LNG, Coral South FLNG, Donggi Senoro LNG and Ichthys LNG.

Mubadala Energy on the sale of a subsidiary Busrakham Oil and Gas (including operated interests in three offshore oil and gas licenses in the Gulf of Thailand that include Nong Yao, Jasmine/Ban Yen, and Manora oil fields) to Valeura Energy.
