Experience

Representative matters

A subsidiary of a global telecommunications services provider, together with a subsidiary, on the amalgamation of the telecoms operations of dtac and True Corporation Public Company Limited in Thailand. The transaction is the largest telecommunications merger in Southeast Asia to-date, with the new company having a combined enterprise value of USD20.7bn, and serving an estimated 55m mobile customers, 5m broadband connections, as well as 3.2m pay-TV subscribers.

A group of financial institutions, on the THB39.55bn initial public offering and listing of SCG Packaging Public Company Limited on the SET. The IPO comprised a public offering of shares in Thailand and a concurrent private placement outside Thailand pursuant to Rule 144A and Reg S under the U.S. Securities Act of 1933, as amended. Awarded ‘IPO Deal of the Year’, Stock Exchange of Thailand Awards 2021.

A global retail company on the USD10.6bn sale of its entire interest in its business in Thailand to C.P. Retail Development, a company held by various CP Group entities, which includes a portfolio of nearly 2,000 stores nationwide in Thailand. The transaction represented the largest corporate acquisition ever in Thailand, and it was also the largest in the APAC region for calendar year 2020. The transaction won 'M&A Deal of the Year: South & Southeast Asia' at the Asia Legal Awards 2021 and also 'M&A Deal of the Year (Premium)' at the ALB Southeast Asia Law Awards 2021.

TMB Bank Public Company Limited on its approximate USD5.5bn merger with Thanachart Bank Public Company Limited, and TMB’s related equity fundraising process through the issue of transferable subscription rights, which raised in excess of approximately USD1.2bn. The deal marked the largest bank merger in Thailand, positioning the merged entity as the sixth largest bank in the country by assets.
