Sascha Fröhlig

Senior Associate

Sascha has extensive experience in securitisation, structured finance and derivatives transactions.

He advises clients on the structuring, documentation and execution of complex and innovative transactions involving various asset classes, such as auto loans and leases, consumer loans, trade receivables and mortgage loans. He also advises on the establishment and update of issuance programmes for structured products, exchange traded notes and other debt instruments, and assists with the approval of prospectuses covering a wide range of underlyings including cryptocurrencies by regulatory authorities such as BaFin, CSSF and CBI. He has a deep understanding of the legal and commercial aspects of the products he works on, and the regulatory framework applicable to issuers, arrangers, dealers, investors and products.

Sascha has a keen interest in the intersection of capital markets and new technologies, such as blockchain, DLT and smart contracts. He advises clients on the implications of these technologies for capital markets transactions, and the opportunities and challenges they present. He is familiar with the German law on electronic securities and the developments in other jurisdictions regarding the digitalisation of securities and the use of DLT platforms. He also follows closely the trends and innovations in the crypto-asset and tokenisation space, and their impact on the capital markets landscape.

Sascha works with a diverse range of clients, including banks, financial institutions and corporates and funds. He works cross-border and multi-jurisdictional, and regularly coordinates with colleagues and local counsel across Europe and the US.

Experience

Representative matters

London-based leading international asset manager M&G Investments on its investment in the first European securitisation of receivables arising under the sale of photovoltaic systems. The transaction won trade journal GlobalCapital’s “Private Securitisation of the Year” award for 2023.

A group of financial institutions on European Investment Bank’s issuance of dematerialised bonds in different blockchains across Europe through legal and operational engineering. The transaction was awarded the Global Digital Finance Award at the IFLR Europe Awards 2023.

Invesco in connection with the issuance of their first physically-backed Bitcoin Exchange Traded Notes that are listed for trading on the Frankfurt Stock Exchange and the establishment of their programme.
