Ginting & Reksodiputro in association with Allen & Overy

Indonesia is one of the most important emerging markets in Asia and Ginting & Reksodiputro in association with Allen & Overy have been active there for many years, representing financial institutions, corporates and the Republic of Indonesia on a wide range of transactions.

In 2010, we strengthened our Indonesian offering by entering into an exclusive association agreement with Ginting & Reksodiputro (G&R), based in Jakarta. G&R is a top tier Indonesia law practice and their lawyers provide first class Indonesian legal advice and are well-established leaders in the local market. This coupled with our own Indonesian expertise means we now provide a high quality 'one stop shop' on Indonesian transactions – an ability to give outstanding local and international advice as well as an integrated full service. This is what clients have come to expect from Allen & Overy across the world.

Practices in Indonesia

Banking

The Banking practice works at the heart of the world’s financial markets, supporting global corporate and financial institutions on a full range of domestic and cross-border banking transactions. 

International Capital Markets, Debt Capital Markets, Project Finance and Asset Finance are some of the practice areas. Typical assignments include transactions for clients requiring debt funding – typically those that need loans in order to fund their general corporate activities or to make purchases of other companies or assets. For example, a client may identify a company that it wants to buy, either on the stock market or privately and, in order to finance that purchase, it needs to access cash, either by raising it in the capital markets (by making a placing and attracting money from bond investors) or by borrowing from a bank (this is called ‘debt finance’).

Work in the Banking practice includes drafting loan documentation and general transaction management. and other tasks such as preparing board minutes for a company wanting to borrow, coordinating documents, possibly from other jurisdictions, and liaising with lawyers in those jurisdictions.

Corporate and M&A

The Corporate practice advises clients on acquisitions of other businesses, disposals of their own business and raising finance in the equity markets, and provides a wide range of general corporate advice that every board of directors needs. Lawyers in the Corporate practice are both generalists and specialists. They work in extensive teams but each lawyer also has an area of specialism, for example public takeovers, or in a sector such as energy and resources. So, on the acquisition of a company in the energy field, a general corporate lawyer may run the file but he or she will call on the expertise of the energy specialist as well as other specialists around the firm.

Mergers & Acquisitions, Energy and Resources, Tax, Anti-trust/Competition, Infrastructure, Funds, Equity Capital Markets and Private Equity are some of the teams that sit within the Corporate Practice.

Corporate clients include publicly listed or private companies, companies owned by financial institutions and private equity sponsors – organizations whose interest is investing in companies and perhaps buying whole businesses. The Corporate group also advises companies which are themselves advisers, such as investment banks.

On joining the Corporate practice you will play an important role in the team, tackling tasks such as drafting agreements, communicating with clients and attending meetings. The key attractions of Corporate are the variety of transactions you can expect to get involved in, and working with an international client base.

Projects

We are regarded as one of the leading firms advising on some of the world's largest projects both worldwide and in the Asia Pacific region. The Allen & Overy Jakarta office experience advising all parties on leading projects in the Asia Pacific region means that we can offer the benefit of this experience and the unique 360° insight to our clients and any lawyers joining the Allen & Overy team.

We have pioneered the legal side of project financing, and can offer unrivalled transactional experience and training for those interested in projects and project finance.

We welcome applications from lawyers with Indonesia and international projects experience, particularly in the Asia Pacific region. Applications from lawyers with experience on the construction and/or finance side is welcomed. In all cases you should have a strong academic record, a commercial approach, the ability to think laterally, be pragmatic and well organized, be able to work in a team environment and adapt well to different cultural settings. You should also work well under pressure.
