Our antitrust practice was recently described as “first rate for merger clearances” by Chambers’ guide to the legal profession. This is a reflection of the high number of significant merger cases in which Allen & Overy’s antitrust practice has been involved over the last few years, with a strong track record of success.

We develop global strategies for obtaining clearance of mergers and joint ventures in all relevant jurisdictions using our local contacts and expertise. We also develop universal antitrust submissions that can be adapted for use in national filings to reduce cost and ensure a coherent approach for our clients. In particular we advise on:

  • how best to present cases to merger control authorities.
  • managing the process of preparing submissions and briefing papers.
  • negotiating settlements (e.g. involving structural or behavioural remedies) when needed to secure clearance.
  • working with specialist economic consultants when needed.

The proposed new Indian merger control regime has been in the pipeline for many years but is yet to come into force. In August 2007 a bill amending the draft rules was passed, which has made significant changes to the proposed regime. This note examines these changes and the uncertainty that remains in relation to certain aspects of the regime.
Following the CFI decision which annulled the Commission's original clearance of the creation of the Sony BMG joint venture, the Commission has re-assessed the merger and has confirmed its earlier approval.

Allen & Overy is acting for CTS Eventim AG (Eventim) before the UK's Competition Appeal Tribunal (CAT) and the Competition Commission (CC) in respect of the CC's in-depth inquiry into the UK aspects of the recently completed USD800 million merger between Ticketmaster Entertainment, Inc. and Live Nation, Inc. to form Live Nation Entertainment, Inc.
On 4 February 2009, the European Commission cleared the proposed acquisition by the French pharmaceutical company Sanofi-Aventis of Zentiva N.V., a generic pharmaceutical company active in Central and Eastern Europe.
