Roger is Financial Institutions Sector Lead and a member of the Board. He has over 20 years' experience advising financial institutions, credit funds, sponsors and corporates on a wide range of complex, high-profile and highly structured financing transactions across Asia Pacific and beyond.

Roger has a varied and extensive practice, having regularly advised on project financing, corporate lending, pre-IPO financing, listed share-backed financing, other forms of structured and acquisition financing and real estate financing. 

Over the years, Roger has advised on numerous significant, award-winning financing transactions involving market-first features, setting industry precedents. While Roger has returned to practise in Hong Kong since 2001, he started his career at the firm’s London office and has spent time in the Tokyo offices and on client secondment supporting their securitisation business; he has a wide view of how financings are and can be structured in different markets. Roger transacts in English, Cantonese and Mandarin, and is recognised by clients for his deep knowledge of the markets across the region, the diversity of his practice and his experience in acting for a wide variety of clients.

Roger is the firm's Global Co-head for the bank sector and is a member of the firm's Board.

Representative matters

ESR and Chinachem Group on a HK$8.8 billion limited recourse dual tranche limited recourse green loan for the development operate a prime cold storage and logistics facility in Kwai Chung, Hong Kong.

A global financial institution as structuring and drafting counsel on the senior and mezzanine financing of the HK$40.2 billion acquisition by the CHMT Peaceful Development Asia Property consortium of The Center, one of Hong Kong’s prime commercial buildings in the city’s business district. The deal won Debt Market Deal of the Year from Asian Legal Business Hong Kong Law Awards 2018.

A global financial institution as arranger on the financing of a US$2 billion convertible preference share as part of the financing for ChemChina’s US$44 billion acquisition of Syngenta AG.

Credit Suisse as arranger on a USD120m pre-IPO financing in the form of loan plus warrants, which were exercisable into shares in China Hanking Holdings Limited, and the investors’ exit on IPO.

27 multilateral, bilateral and developmental agencies, export credit agencies, Thai and international commercial banks on the greenfield project financing of the Nam Theun 2 hydropower project in Laos. At the time of signing, Nam Theun 2 was the largest foreign investment in Laos, the world's largest private sector cross-border power project financing, the largest private sector hydroelectric project financing, and one of the largest internationally financed IPP projects in Southeast Asia. The deal won “Asia Power Deal of the Year” from Project Finance International Magazine 2005.
